37 Capital Closes $300,000 Private Placement Tranches To Fund Berrio Gold Project Option

37 Capital Inc. has raised aggregate gross proceeds of $300,000 across two completed tranches through the issuance of 3,000,000 units priced at $0.10 each. The funding directly supports the company's asset acquisition strategy in South America, providing the necessary capital for the initial payment required under an option and asset purchase agreement with Quimbaya Gold Corp. dated August 18, 2026.

Under the financing structure, each unit consists of one common share and one share purchase warrant. Every two warrants entitle the holder to purchase one additional common share at an exercise price of $0.15 for a period of three years. To complete the placement tranches, 37 Capital paid a finder's fee of $3,500 in cash and issued 115,000 finder's warrants exercisable at $0.15 per share for two years. All securities issued under the two tranches are subject to a four-month and one-day statutory hold period under applicable securities laws.

The proceeds unlock capital earmarked for the Berrio Gold Project, allowing the company to meet its near-term obligations. Under the August agreement, 37 Capital holds a twelve-month option exercisable to acquire an undivided 100% legal and beneficial interest in the gold property, which is located in the Antioquia department of Colombia. Exercising the option requires total payments of US$3,750,000 over the course of the twelve-month term.

In the broader area, Quimbaya Gold Inc. reported that its initial six drill holes at the Tahami Center target within the Tahami Project intersected a modelled copper-molybdenum porphyry system in September 2026, marking an active operational backdrop for regional asset holders.
