37 Capital Proposes $700,000 Financing Package for British Columbia Operations
37 Capital Inc. intends to raise gross proceeds of up to $700,000 through a dual private placement comprising flow-through and non-flow-through units.
The proposed financing consists of up to 10,000,000 flow-through units priced at $0.05 per unit to raise up to $500,000, alongside up to 4,000,000 non-flow-through units at the same $0.05 price to raise up to $200,000.
Funds raised from the flow-through portion will support exploration work expenditures on the company's Extra High mineral property in British Columbia or on other properties the company may acquire. Proceeds from the non-flow-through offering will be directed toward general working capital purposes.
Each flow-through unit comprises one flow-through common share and one non-flow-through share purchase warrant. Each non-flow-through unit includes one common share and one share purchase warrant. Every warrant allows the holder to acquire an additional common share at $0.15 for three years from the closing date.
The terms include an acceleration clause for the warrants. If the common shares trade on the Canadian Securities Exchange at $0.25 or above for ten consecutive trading days at any point after six months from closing, the company holds the right to accelerate the expiry date. Under this provision, warrants will expire 30 calendar days after the company issues a notice via news release.
All securities issued under the financings will be subject to statutory hold periods under applicable securities laws. Finder's fees may apply, and certain insiders are expected to participate in both placements.
The current proposed raise follows a private placement in June 2026 that closed at $210,000 through units priced at $0.07. The new financing structure proposes a larger capital injection at a lower unit price. Earlier, in December 2025, the company engaged a consultant to evaluate potential new mining projects while assessing development plans for the Extra High property.
