Advanced Gold Secures 100% Silver Belle Interest

Advanced Gold Exploration Inc. has completed its acquisition of a 100% interest in the Silver Belle Project in Eureka County, Nevada, by delivering the final share consideration and settling remaining cash obligations with Stream Metals LLC and Kadenwood Development Corp.
Under the transaction terms, Advanced Gold issued 1,500,000 common shares as the second share issuance obligation from the February 26, 2026 purchase agreement. The company also replaced an originally scheduled $50,000 cash payment due at the six-month anniversary of closing by paying $25,000 in cash and issuing 250,000 settlement shares priced at $0.10 each.
These payments and share issuances satisfy all outstanding acquisition consideration obligations under the original agreement, other than an ongoing 1.5% net smelter returns royalty payable to Stream Metals. Advanced Gold retains an option to purchase that royalty for US$1,500,000 to reduce it to zero. All newly issued securities carry a four-month and one-day statutory hold period and remain subject to Canadian Securities Exchange approval.
Advanced Gold originally acquired its interest through the February 2026 purchase agreement and subsequently incorporated a wholly-owned U.S. subsidiary, Silver Belle Resources LLC, in March 2026 to manage the asset. Following spring mapping and sampling reconnaissance programs, the company completed and filed an independent NI 43-101 technical report for the property with an effective date of August 9, 2026.

Concurrently, Advanced Gold has adopted semi-annual financial reporting under Coordinated Blanket Order 51-933, a regulatory framework enabling eligible venture issuers on the Canadian Securities Exchange to move away from quarterly reporting. By joining the pilot program to reduce administrative and financial overhead, the company will omit interim financial reports and related management's discussion and analysis for three-month and nine-month periods, beginning with the period ended September 30, 2026. The company will continue to file audited annual statements and unaudited six-month financial results while maintaining ordinary timely disclosure obligations for material developments.
