Agnico Eagle Secures 10.45% Stake In Radisson Mining Resources In C$57.2M Placement

Agnico Eagle Mines Limited has agreed to acquire 53,420,000 units of Radisson Mining Resources Inc. for total consideration of C$57,159,400 through a non-brokered private placement.

Under the subscription agreement, the units are priced at C$1.07 each. Each unit consists of one Class A common share and one-half of one common share purchase warrant. Every whole warrant allows the holder to acquire an additional common share at C$1.39 for a period of sixty months following completion of the transaction, subject to certain acceleration terms.

The transaction remains subject to customary closing conditions, including the approval of the TSX Venture Exchange, with completion expected on or about September 2, 2026.

Upon closing, Agnico Eagle will hold 53,420,000 common shares and 26,710,000 warrants. This holding represents approximately 10.45% of Radisson's issued and outstanding common shares on a non-diluted basis, or roughly 14.90% on a partially-diluted basis if all warrants held by Agnico Eagle are exercised.

The two companies will also enter into an investor rights agreement upon closing. Provided Agnico Eagle maintains specified ownership thresholds, the agreement grants the right to nominate one director to the Radisson board, scaling to two directors if the board size expands to eight or more members. It also provides participation and top-up rights to maintain ownership interests during future equity offerings or dilutive issuances. Additionally, the agreement places restrictions through December 31, 2028, on specified transactions involving Radisson's mineral properties, including dispositions, royalties, streams, offtakes, and secured financings, followed thereafter by a sixty-day advance notice requirement for such transactions.

The investment forms part of Agnico Eagle's broader strategy of taking strategic equity positions in exploration companies with high geological potential. The transaction follows similar investments made earlier in 2026, including a private placement in Cadillac Mines Corporation in July 2026 where shares were priced at C$6.90 for total consideration of C$60,002,400, and a May 2026 placement in Wallbridge Mining Company Limited.
