Aldebaran Resources Secures Shareholder Approval and Court Order for Centauri Minerals Spin-Out
Aldebaran Resources Inc. shareholders have approved the statutory plan of arrangement to spin out subsidiary Centauri Minerals Inc. at an annual and special meeting held on August 7, 2026, following the receipt of a final order from the Court of King’s Bench of Alberta.
Under the arrangement, Aldebaran will distribute approximately 18,535,783 common shares of Centauri to Aldebaran shareholders on a one-for-ten basis. The transaction is expected to be completed before the end of August 2026, subject to remaining closing conditions, including the approval of the Centauri shares for listing on the TSX Venture Exchange.
The spin-out transfers a 100% interest in a portfolio of exploration projects spanning approximately 40,000 hectares across the Argentine provinces of Salta, Jujuy, and Catamarca into the new standalone entity. Centauri holds the Rio Grande gold-copper project in Salta as its most advanced asset.
These projects had been placed on hold for several years while Aldebaran concentrated its resources on advancing its flagship Altar copper-gold project in San Juan Province. Separating the assets is designed to unlock additional value for shareholders by establishing a dedicated vehicle to progress the Northern Argentina portfolio.
Following completion of the spin-out, Centauri plans to execute a drilling program at Rio Grande later in 2026 and complete a go-public transaction and list as a public company during the year.
The arrangement follows Centauri’s subscription receipt financing on July 23, 2026, which raised aggregate gross proceeds of $25,486,000 at an issue price of C$1.00 per share.
