Centauri Minerals Secures TSX-V Approval and Sets Listing Mechanics for Spin-Out

Centauri Minerals Inc. has received final approval from the TSX Venture Exchange to list its common shares under the symbol CENT, following the filing of its Form 2B listing application on SEDAR+.

The listing advances the corporate reorganization outlined in September 2025, when Aldebaran Resources Inc. announced plans to spin out its non-core exploration properties into a separate vehicle to unlock value for shareholders. Under the planned arrangement, which is anticipated to close on August 27, 2026, eligible holders of Aldebaran Resources Inc. shares of record as of the close of business on August 26, 2026, will receive one new common share of Aldebaran Resources Inc. and 0.10 of a Centauri share for each share held. Shareholders are not required to take any action to receive the distribution.

The transaction mechanics require Centauri shares to be listed and immediately halted on August 26, 2026, ahead of the anticipated closing of the arrangement. The trading halt is scheduled to lift once the arrangement is completed, with trading on the TSX Venture Exchange expected to commence on August 31, 2026.

Centauri holds a 100% interest in an exploration portfolio covering approximately 40,000 hectares across the Salta, Jujuy, and Catamarca provinces of Northern Argentina, a mining jurisdiction of increasing global significance. The most advanced asset in the portfolio is the Rio Grande gold-copper project in Salta, which features an independent National Instrument 43-101-compliant mineral resource estimate highlighting significant gold, copper, and silver quantities.

The spin-out allows Aldebaran Resources Inc. to maintain its primary focus on advancing the flagship Altar copper-gold project in San Juan Province, Argentina, where the company holds an 80% interest alongside partner Sibanye-Stillwater Ltd. Aldebaran Resources Inc. released a preliminary economic assessment for Altar outlining a 48-year mine life and robust project economics, leaving the earlier-stage regional portfolio to be developed independently under Centauri.
