Alpayana S.A.C. Acquires 10.97% Stake in Galantas Gold Corporation for CAD$38.4 Million

Alpayana S.A.C. has completed a private share purchase agreement to acquire a substantial equity stake in Galantas Gold Corporation, taking control of 91,313,890 common shares.

The transaction, which settled on August 21, 2026, carried an aggregate purchase price of CAD$38,351,833.80. Alpayana S.A.C. purchased the common shares at a price of CAD$0.42 per share through a private agreement with a third-party seller.

Prior to the transaction, Alpayana S.A.C. did not beneficially own or control any common shares or other securities of Galantas Gold Corporation. Following the completion of the acquisition, the Peruvian mining group holds an approximate 10.97% interest in the gold developer. This ownership percentage is calculated based on a total of 832,130,323 issued and outstanding common shares, as disclosed by Galantas Gold Corporation ahead of the transaction.

Alpayana S.A.C. acquired the common shares in the ordinary course of business for investment purposes. The private mining group will continue to monitor the business, financial condition, and operational prospects of Galantas Gold Corporation. Depending on the outcome of those evaluations and other market factors, Alpayana S.A.C. may decide to adjust its direct or indirect ownership over time. Future adjustments could involve increasing or decreasing its holdings through market transactions, private agreements, treasury subscriptions, or other available mechanisms.
