Amarc Secures Institutional Backing for CAD$20 Million Private Placement to Advance British Columbia Portfolio

Amarc Resources Ltd. has proposed a private placement of approximately 20 million common shares at CAD$1.00 per share to raise gross proceeds of approximately CAD$20 million. The offering is led by strong institutional investor participation.

Gross proceeds from the placement will be directed toward funding working capital, general corporate purposes, project investigations, and advancing required future expenditures across the JOY District, alongside Amarc's other properties including DUKE and IKE.

Completion of the offering is targeted for early September, subject to definitive subscription documentation, the advancement of funds, and TSX Venture Exchange approval. Shares issued under the placement will be subject to a four-month and one day hold period in Canada from the closing date.

Amarc is advancing the DUKE District in British Columbia under a 60:40 joint venture with Boliden Mineral Canada Ltd., following Boliden's sole funding of CAD$30 million in exploration through the end of 2025. Under the joint venture terms, both parties must fund ongoing exploration pro rata or dilute their respective interests.

Concurrently, Amarc is advancing its ongoing 2026 exploration program at the JOY Copper-Gold District. That program is fully funded by Freeport-McMoRan under an expanded $20 million budget as part of a staged earn-in agreement.
