American Gold & Copper Inc. has signed a non-binding letter of intent with Homeland Nickel Inc. to acquire the Shamrock nickel-copper project in Jackson County, southern Oregon.
Under the proposed transaction, American Gold & Copper would pay US$150,000 in cash for the property and provide an additional US$8,500 to cover mining claim renewal costs in September 2026. The acquisition scope covers 40 unpatented lode mining claims spanning approximately 758 acres.
The Shamrock project features a history of exploration dating to the early 1900s, including underground development and diamond drilling conducted by the U.S. Bureau of Mines between 1949 and 1950. Homeland previously reported a 200-pound composite sample assaying 1.1% copper, 1.3% nickel and 0.03 oz/t platinum.

Completion of the transaction is conditional upon a 60-day due diligence period for American Gold & Copper to review legal, title, technical and environmental records. The parties anticipate closing the acquisition on or before October 11, 2026, subject to definitive agreements, claim verification, and required regulatory approvals including TSX Venture Exchange acceptance for Homeland.
Beyond the Shamrock evaluation, the company's initial operating focus remains the technical advancement of the Ascensión de Guarayos copper-gold-silver project in eastern Bolivia through its subsidiaries. American Gold & Copper is also working toward finalizing a definitive agreement for the proposed acquisition of the Rimrock copper-gold project in Lander County, Nevada, following a previously established memorandum of understanding.
The corporate developments follow FINRA completing a corporate action changing the company's legal name and trading symbol, which became effective in July 2026.
