Apex Critical Metals Files C$100 Million Base Shelf Prospectus to Fund Exploration Flexibility

Apex Critical Metals Corp. has filed and obtained a receipt for a final short form base shelf prospectus across Canadian provinces and territories, excluding Québec, alongside a corresponding registration statement with the United States Securities and Exchange Commission that automatically became effective.

The regulatory filing provides the company with capital-raising flexibility to offer and issue up to C$100,000,000 of common shares, warrants, subscription receipts, units, debt securities, depositary shares, and share purchase contracts, or any combination of those securities, over a 25-month period. Securities may be sold in amounts, at prices, and on terms determined by prevailing market conditions through public offerings, strategic investments, or at-the-market distributions. Specific terms and the intended use of proceeds for any future offerings will be detailed in prospectus supplements filed with applicable regulatory authorities.

The shelf filing supports ongoing work at the company's flagship Rift Rare Earth Project, located within the Elk Creek Carbonatite Complex in southeastern Nebraska. The Rift project sits within the same regional district where developer NioCorp Developments Ltd. reported a feasibility study for its Elk Creek project on August 10, 2026, outlining a pre-tax NPV of $4.1 billion over a 40-year mine life.

Apex is advancing the Rift project alongside its 100%-owned Cap Project in British Columbia and has targeted an initial mineral resource estimate for the Rift Project in Q1 2027.
