Armory Mining Acquires Option for 1,173-Hectare Happy Creek Property in British Columbia

Armory Mining Corp. has acquired an option to secure a 100% interest in the Happy Creek mineral claim in British Columbia, expanding its domestic portfolio of critical and strategic mineral assets.

Under the option agreement with 1538963 B.C. Ltd., Armory issued 12,000,000 common shares as upfront consideration for the property, which covers approximately 1,173.98 hectares in the Happy Creek area approximately 150 kilometres east of Williams Lake. To complete the 100% acquisition, the company is scheduled to issue an additional 500,000 consideration shares on or before October 14, 2027, followed by a final 500,000 consideration shares on or before August 14, 2028, for a total of 13,000,000 shares. Alternatively, Armory may accelerate the exercise of the option at any time by issuing any remaining consideration shares prior to the scheduled deadlines.

All consideration shares issued under the agreement are subject to a four-month hold period from the date of issuance pursuant to applicable securities laws and the policies of the Canadian Securities Exchange.

The Happy Creek project adds to Armory's Canadian portfolio, which includes 100% interests in the Riley Creek antimony-gold project in British Columbia and the Ammo antimony-gold project in Nova Scotia. Internationally, the company also controls an 80% interest in the Candela II lithium brine project in the Incahuasi Salar of Argentina's Salta Province.
