ATHA Energy Appoints New Board Leadership and Settles US$250,000 Debenture Interest in Shares

ATHA Energy Corp. has announced the resignation of Richard Pearce from its Board of Directors, effective August 31, 2026, to pursue other professional endeavours.
Mr. Pearce joined the board in April 2024 in connection with the company's transaction with 92 Energy Ltd. Following his departure, Erinn Broshko has been appointed as chair of the Compensation Committee and Suraj Ahuja has been appointed as a member of the Nominating and Corporate Governance Committee.

Additionally, the company has issued 340,136 common shares at a deemed price of US$0.735 (C$1.03) to Queen's Road Capital Investment Ltd. to satisfy US$249,999.96 (C$350,349.94) in interest owing on the US$25 million convertible debenture issued on February 5, 2026.
The latest settlement follows a previous interest payment on April 30, 2026, when the company issued 354,521 common shares at a deemed price of US$0.666 to satisfy US$236,110.99 in debenture interest. The August payment involved a higher deemed share price and a larger interest obligation settled with fewer shares.
