Aurbis Resources Corp. has initiated plans to spin off its 100% owned Ducros Nickel Project in Quebec through the distribution of its wholly owned subsidiary, 1560357 BC Ltd., to shareholders by way of a Plan of Arrangement.

The proposed transaction aims to separate the mineral claims into an independent entity with its own sources of funding and separate operations. Under the current proposals, the subsidiary intends to conduct a private placement to fund its business operations in conjunction with the corporate restructuring and apply to list its common shares on a recognized Canadian venture exchange.

The structure marks a shift from the operational focus maintained by the company under its previous identity as Québec Nickel Corp., which completed a corporate rebranding and name change in April 2026. During earlier exploration phases under that banner, the company completed extensive work programs on the property, including a comprehensive diamond drilling program comprising approximately 18,000 metres across 50 holes.

The proposed spin-out remains in the early stages and is subject to multiple conditions, including the receipt of applicable shareholder, court, and regulatory approvals. Aurbis has established a special committee of independent directors to evaluate the transaction and determine whether the arrangement is fair to shareholders and in the best interests of the company.

Full operational and structural details, including share exchange ratios, capitalization figures, distribution record dates, and the anticipated listing timeline, will be set out in a Plan of Arrangement described in a subsequent news release and a management information circular distributed to shareholders. The company currently targets a late 2026 or early 2027 listing date for the subsidiary, subject to the successful completion of required approval processes.
