Aya Gold & Silver Inc. has entered into an agreement to acquire a 139 square-kilometre portfolio of exploration permits in Morocco, including a 19 square-kilometre mining license situated approximately 35 kilometres west of the company's Zgounder Silver Mine.

The transaction is valued at C$4.0 million, payable entirely in common shares of Aya. Completion of the acquisition remains subject to customary closing conditions, including confirmatory due diligence, applicable Moroccan and Canadian regulatory approvals, and approval from the Toronto Stock Exchange.

The acquired package expands on previous regional consolidation by Aya, which in June 2025 acquired six exploration permits totalling 48.1 square kilometres in the Zgounder area. The current transaction adds a substantially larger land holding that encompasses multiple styles of mineralization, including sediment-hosted and stratiform copper alongside structurally controlled vein- and shear-hosted copper-silver occurrences. Historical trenching across the permits returned 15 metres grading 0.65% copper and 33 grams per tonne silver, while historical and recent surface grab samples have yielded up to 4.6% copper and 837 grams per tonne silver.

Over the next 12 to 18 months, Aya plans to initiate systematic exploration across the permit area, carrying out stream sediment geochemistry, high-resolution hyperspectral studies, airborne geophysics, mapping, and prospecting to assess the property for new discoveries.

Activity across the wider Western High Atlas district has also highlighted regional prospectivity, with Morocco Strategic Minerals Corporation reporting high-grade underground channel sampling returning 5.74% copper and 39 g/t silver over 2.1 metres at its nearby Ouneine-Ijoukak Hub project.

“This acquisition is consistent with our vision of building a dominant land position around Zgounder and strategically consolidating prospective opportunities in Morocco,” said Benoit La Salle, President & CEO. “Adding 139 km² of compelling copper-silver showings only 35 km from Zgounder is in line with this strategy. We see significant potential to apply Aya’s exploration expertise and establish a new copper-silver platform within our growing Moroccan portfolio.”
