Aztec Minerals Corp. has signed a definitive purchase and sale agreement to acquire the final land parcels for its Tombstone district consolidation program in Cochise County, Arizona, growing the project footprint to approximately 2,500 acres.

The transaction covers approximately 241 acres of surface rights and 414 acres of mineral rights across thirty historic patented lode claims, including the Lucky Cuss, Old Guard, Owl’s Nest, Black Hawk, Grand Dipper, and East Side. Aztec Minerals America Corp., a wholly owned subsidiary of Aztec, agreed to pay US$241,000 in cash for the ground. Closing remains subject to customary conditions, including title review.

The final agreement completes a broader consolidation program undertaken since late 2025. Across the program, Aztec has acquired ground for an aggregate cash consideration of approximately US$500,000, achieving an average cost of approximately US$1,250 per surface acre. The acquisitions were completed with no share dilution and no finder's fees. By comparison, the company paid approximately US$3,360 per acre for the Westside patented claim in May 2023 and approximately US$1,750 per acre for the Alps and Minett claims in 2020.

The land holdings have expanded significantly from the 1,639 acres reported in May 2025, and stand more than six times larger than the 398 acres under option when Aztec first entered the district in December 2017.

“When we optioned Tombstone in December 2017, the project covered 398 acres. Today, after years of strategic staking, claim purchases and the land consolidation program completed with this agreement, our district position stands at approximately 2,500 acres - more than six times the ground we started with.” — Simon Dyakowski, CEO

All acquisitions under the consolidation program were made by Aztec’s operating subsidiary. Joint venture partner Dragoon Resources LLC has contributed its 15% share of acquisition costs, making the holdings part of the Tombstone Joint Venture, which features an 85.0% interest held by Aztec and 15.0% by Dragoon. For the latest parcel package, Dragoon holds a 60-day right to participate on the same basis, which Aztec expects will be exercised.

The unified land package provides unhindered access for ongoing technical programs. Assay results from drill holes TR26-40 to TR26-50 are anticipated in the coming weeks, and the company expects to incorporate the data into its maiden mineral resource estimate for Tombstone in the fourth quarter of 2026. Metallurgical test work is also underway at Kappes, Cassiday & Associates in Reno, Nevada.
