Aztec Minerals Upsizes Bought Deal Financing to C$5.57 Million

Aztec Minerals Corp. has amended its financing terms to raise gross proceeds of C$5,568,000 through an upsized bought deal private placement. Driven by investor demand, the company and sole underwriter Stifel Canada agreed to expand the offering from the previously announced level.

The financing involves issuing 17,400,000 units priced at C$0.32 per unit. Each unit consists of one common share and one-half of a common share purchase warrant. Every whole warrant allows the holder to buy an additional common share at C$0.42 for 24 months following the closing date. In addition, the underwriter holds an option, exercisable up to 48 hours before closing, to purchase up to an additional 15% of units to generate roughly C$835,200 in extra gross proceeds.

Aztec plans to allocate the net proceeds toward exploration work at its portfolio assets and for general working capital requirements. The funding supports exploration across the company’s holdings, which include an 85.0% joint venture interest in the historic Tombstone gold-silver and carbonate replacement deposit project in southeastern Arizona, alongside a 100% interest in the Cervantes porphyry gold-copper project located in Sonora, Mexico.

The offering remains subject to regulatory conditions, including conditional approval from the TSX Venture Exchange, and is expected to close on or about September 22, 2026. Units issued under the placement carry a four-month and a day statutory hold period under Canadian securities laws.

Following the financing announcement, market activity surged on September 3, 2026, with trading volume reaching 1,182% above the 50-day average of 223,399 shares. Aztec closed the session at $0.37, representing a 2.78% gain on the day.
