Battery X Metals Submits Amended Draft Registration For U.S. Listing

Battery X Metals Inc. has confidentially submitted an amended draft registration statement on Form F-1 to the U.S. Securities and Exchange Commission in connection with a proposed initial public offering of securities and a secondary listing on a U.S. national securities exchange.

The filing advances the company's ongoing confidential registration process, following an initial submission to regulators in December 2025 and subsequent amended filings submitted on February 27, April 1, April 10, and May 18, 2026. The number of securities to be offered and the corresponding price range for the proposed offering remain undetermined.

The proposed U.S. initial public offering stays subject to the completion of the SEC review process, as well as prevailing capital markets and other customary conditions. No assurance has been provided regarding the timeline for clearing the regulatory review or whether the proposed offering and exchange listing will proceed on the currently contemplated terms.

The cross-border listing initiative coincides with a broader corporate restructuring designed to realign Battery X Metals around its core energy transition and battery technology portfolio. The company previously entered into a definitive agreement in February 2026 to strategically sell its 100 percent interest in the Belanger gold and copper exploration project in Ontario. That transaction provided near-term consideration and retained equity upside, allowing the business to direct capital and management resources toward its integrated battery lifecycle platform, battery-focused exploration, and lithium-ion battery rebalancing technologies.

To support the execution of this technology and corporate development strategy, Battery X Metals appointed electric vehicle and lithium-ion battery entrepreneur William Fan as President in August 2026. Fan’s background includes operational training across North American, European, and South Korean automotive facilities, alongside early involvement with the Volta Foundation and Canadian electric vehicle manufacturer initiatives. In his leadership role, Fan oversees the advancement of the company's patent-pending lithium-ion battery rebalancing platform, which targets out-of-warranty battery degradation across major commercial and passenger electric vehicle architectures.
