Besra Gold Receives New Shareholder Requisition Notice Covering Seven Board and Governance Resolutions
Besra Gold Inc. has received a fresh shareholder requisition notice under Section 143 of the Canada Business Corporations Act, triggering another legal review by the board as the company weighs its statutory obligations.
Dated 4 August 2026, the notice comes from eight shareholders claiming to represent 22,057,919 common shares, which accounts for approximately 5.2% of the issued share capital of the company.
The filing puts forward seven distinct resolutions. Six of the proposals deal with the removal and appointment of directors to the board, while the remaining resolution calls for a formal review of financial management, corporate governance and regulatory compliance.
Besra Gold holds the Bau gold project as its primary asset in Malaysia.
The latest filing follows a previous requisition notice announced on 19 June 2026, which involved 11 shareholders proposing six resolutions. While the number of requisitioning shareholders has dropped from 11 to eight and the resolution count has increased from six to seven, the claimed shareholding backing the action remains unchanged at 22,057,919 common shares, representing approximately 5.2% of issued capital.
Besra is currently reviewing the validity of the notice and has sought legal advice to ensure compliance with the requirements of the Canadian statute before determining its response and obligations.
