Boreal Gold Launches $1.4 Million Financing to Fund Manitoba Exploration

Boreal Gold Ltd. has launched a non-brokered private placement to raise up to $1,400,000 in gross proceeds to fund ongoing exploration across its properties in northern Manitoba.

The financing package consists of units priced at $0.20 and flow-through shares priced at C$0.30. Each unit comprises one Class A share and one-half of a share purchase warrant, with whole warrants exercisable at $0.30 for two years following closing.

Proceeds raised from the flow-through shares are earmarked specifically for the exploration and advancement of the company’s North Star, Fay Lake, and Melgurd Lake properties. Funds generated from standard units will be allocated toward general corporate purposes. The offering may include the payment of finder’s fees or the issuance of finder’s warrants, subject to regulatory compliance. All securities issued under the placement will carry a statutory hold period of four months and one day.

Boreal Gold initiated a 3,100-metre Phase 4 drill program targeting the Gold Rock Vein at the North Star project in April 2026.

Insiders may participate in the offering, constituting a related party transaction. The company expects to rely on exemptions from formal valuation and minority shareholder approval requirements, as transaction values are not expected to exceed 25% of the company’s market capitalization.

The financing comes as gold traded at US$4,350.30 per ounce, representing a 7.37% increase over the 30-day period ended August 13, 2026.
