Bronco Resources Targets $450,000 Financing and Debt Settlement to Advance Placer Mountain

Bronco Resources Corp. is launching a non-brokered private placement to raise gross proceeds of up to $450,000 alongside a debt settlement arrangement to clear $133,238 in outstanding liabilities, supporting ongoing work at its Placer Mountain Gold Project in British Columbia.
The conditional financing involves issuing up to 9,000,000 units at $0.05 per unit. Each unit consists of one common share and one-half of a non-transferable share purchase warrant, with whole warrants exercisable at $0.10 per share for 24 months from the issue date. The company may pay finder's fees of 6% in cash and 6% in finder warrants, which carry the same exercise terms.
In a parallel move, Bronco Resources has entered into debt settlement agreements to extinguish $133,238 of debt owed to management, directors, and arm's-length creditors. The company will issue 2,664,760 common shares at a deemed price of $0.05 per share to settle the liabilities, which primarily comprise unpaid management fees, equipment rental, and consulting and advisory fees accrued over approximately two years. A portion of the debt originally owed to a former chief executive officer who remains a director and another creditor was assigned to arm's-length third parties for settlement through the transaction.
Both the financing and the shares-for-debt transaction constitute related-party transactions under Multilateral Instrument 61-101 due to insider participation, but the company is relying on exemptions from formal valuation and minority shareholder approval requirements. All securities issued under both transactions are subject to a statutory four-month and one-day hold period, and both arrangements remain subject to the approval of the TSX Venture Exchange.
Proceeds from the private placement will be directed toward advancing the Placer Mountain property and general working capital. The company staked one new mineral claim near the project on August 28, 2026, and maintains additional drilling planned for the fourth quarter of 2026.
