Bullfrog Secures C$5M Placement For South Bullfrog

Bullfrog Gold Corporation has arranged a non-brokered private placement to raise up to C$5,000,000 through the issuance of up to 25,000,000 units priced at C$0.20 each.
The funding package will provide capital for exploration at the South Bullfrog gold project in Nevada, alongside general working capital requirements. Each unit in the offering comprises one common share and one-half of a warrant. Every whole warrant allows the holder to purchase an additional common share at an exercise price of C$0.30 for 24 months from the closing date.
The financing is scheduled to close on or about September 29, 2026, pending receipt of standard regulatory permissions, including conditional clearance from the TSX Venture Exchange to list the new common shares. Securities issued under the placement will carry a four-month and one-day hold period from the closing date under Canadian securities regulations. Eligible finders may receive up to 6% in cash and 6% in non-transferable broker warrants exercisable at C$0.20 per share for two years.
Anticipated insider participation in the offering constitutes a related-party transaction under Multilateral Instrument 61-101. The company relies on exemptions from formal valuation and minority shareholder approval requirements because the fair value of insider participation remains below 25% of the company's market capitalization. SCP Resource Finance and Integrity Capital Group are acting as non-exclusive financial advisors for the placement.
Bullfrog holds a 100% interest in the 10,050-acre property, which covers 488 Bureau of Land Management claims within the Beatty District. The surrounding district underwent significant consolidation between 2021 and 2025 as AngloGold Ashanti acquired Corvus Gold for US$371 million, Coeur Sterling for US$150 million, and Augusta Gold for US$197 million.
The South Bullfrog property is drill-permitted, featuring five drill-ready gold targets delineated by historical workings, surface geochemistry, alteration patterns, and geophysical surveys. The operator expects to commence a 3,000-metre maiden exploration diamond drilling program at the site during the fourth quarter of 2026.
In the surrounding district, Millennium Silver Corp. secured BLM Exploration Notice acceptance and posted the required reclamation bond for diamond-drill holes along the Nivloc Structure at the Silver Peak project in September 2026.
