Cabral Gold Closes $45 Million Private Placement With Alpayana

Cabral Gold Inc. has completed a non-brokered private placement of 34,582,754 units at $1.30 per unit, raising gross proceeds of $44,957,580.

Alpayana S.A.C. purchased all units in the offering as a strategic investment. The transaction gives the Peruvian mining group a 9.99% undiluted interest in Cabral, holding 34,582,754 common shares alongside 17,291,377 warrants exercisable at $1.70 until February 24, 2028.

The financing proceeds will fund exploration and development across Cabral's asset base, supporting both the near-term Phase 1 heap leach operation and the broader Phase 2 hard rock development strategy at the Cuiú Cuiú project in Brazil. The project hosts Indicated resources of 12.29 million tonnes at 1.14 g/t gold in fresh basement material and 13.56 million tonnes at 0.50 g/t gold in oxide material, alongside Inferred resources of 13.63 million tonnes at 1.04 g/t gold and 6.4 million tonnes at 0.34 g/t gold.

Cabral is advancing a two-phase development pathway at Cuiú Cuiú, targeting a first gold pour at its Phase 1 gold-in-oxide heap leach operation in September 2026. A commercial production ramp-up for the starter operation is planned for the fourth quarter of 2026.

Under an accompanying investor rights agreement, Alpayana is entitled to maintain its pro rata ownership through future equity financings provided it holds at least 9.00% of the company's issued shares. Alpayana also secures the right to nominate one director to Cabral's board or appoint a board observer for as long as it maintains a 9.99% shareholding.

Shares of Cabral closed at $1.405, up 2.55% on August 24, 2026.

All securities issued under the placement are subject to a statutory hold period ending on December 25, 2026. Final completion of the arrangement remains subject to final acceptance by the TSX Venture Exchange.
