Canadian GoldCamps Secures Definitive Agreement for Stealthwall West Project

Canadian GoldCamps Corp. has entered into a definitive property acquisition and option agreement to secure an initial 85% undivided interest in the Stealthwall West Project in northeastern Québec.
The transaction requires aggregate deemed consideration of $435,000 for the initial stake. This comprises issuing 3,600,000 common shares at a deemed price of $0.10 per share, representing $360,000, alongside $75,000 in deferred consideration. Canadian GoldCamps can satisfy the deferred payment in cash within six months of closing, or through common shares valued at the lowest permitted issue price if the company retains the project on the first anniversary of closing.
The project encompasses 50 contiguous mining claims covering roughly 2,612.5 hectares within the Rivière-Mouchalagane unorganized territory in the Caniapiscau district. Following the initial acquisition, three residual holders will each retain a 5% interest. Canadian GoldCamps holds a pathway to 100% ownership by acquiring the remaining 15% interest for $400,000, split between $75,000 in cash and $325,000 in common shares.
Upon closing, the asset will become subject to separate 1.0% net smelter returns royalties held by two arm's length parties, resulting in a combined 2.0% royalty that remains in place even if Canadian GoldCamps acquires the remaining 15% interest. If that full buyout does not occur, residual holders face contribution rights only after the first claim renewal and once the company incurs at least $2.0 million in cumulative qualifying expenditures. At that threshold, each holder can either fund 5% of future approved programs or transfer their stake to the company for a proportional cash and share payout.
Completion is subject to standard closing conditions, including board approval, verification that all 50 claims remain in good standing, and acceptance by the Canadian Securities Exchange. Canadian GoldCamps anticipates closing the transaction on or about August 25, 2026.
Ahead of completion, the company is organizing a surface exploration program with an indicative planning budget of $120,000. Planned field activities include geological reconnaissance, prospecting, outcrop mapping, structural measurements, and georeferenced rock sampling, with samples sent to an independent commercial laboratory for analysis.
Stealthwall West will operate as a stand-alone exploration asset alongside the company's existing portfolio. Canadian GoldCamps' flagship asset is the Mercator Gold Project, spanning 574 mineral claims covering approximately 291.3 square kilometres in the same Caniapiscau district. The company also holds an option to acquire up to an 80% interest in the nearby Courcy gold project.
