Canadian Uranium Corp. has filed amended and restated financial statements and management's discussion and analysis for the three months ended March 31, 2026, following a continuous disclosure review by the British Columbia Securities Commission.
The regulatory review determined that assumptions used to calculate the fair value of common shares issued for corporate transactions required adjustment under International Financial Reporting Standards. Specifically, the fair value of the 8,255,187 common shares issued as consideration for the acquisition of Impact Uranium Group Ltd. has been revised to reflect the company's closing share price on the acquisition date of March 17, 2026, in compliance with IFRS 3. In addition, disclosures within the management's discussion and analysis have been updated to consistently state that the acquisition was completed on March 17, 2026, correcting a previous discrepancy.
The restatement has no impact on the company's condensed interim consolidated statements of loss and comprehensive loss or its statements of cash flows for the three months ended March 31, 2026. The restated documents replace the filings originally made on May 28, 2026, which should no longer be relied upon. Canadian Uranium acquired the option for the King South property through its acquisition of Impact Uranium Group Ltd., which closed on March 17, 2026, via the issuance of those 8,255,187 common shares. Under the terms of the King South property option agreement, the company is required to pay $350,000 on or before March 13, 2027.
The financial update coincides with active funding and operational planning across the company's asset portfolio. In August 2026, Canadian Uranium closed a private placement raising gross proceeds of $2,999,750, with net proceeds earmarked for exploration at its Rook 2 and King South projects.
