CBLT Secures Financing to Fund Diversification into Investor Education Support
CBLT Inc. is diversifying its business scope by acting as agent to manage cash accounts for a third-party investor education and marketing program, while maintaining mineral exploration as its primary operation. Alongside this minor operational addition, CBLT has announced a non-brokered financing to raise $50,000 for working capital.
The financing comprises units priced at $0.05 each, with every unit consisting of one common share and one full common share purchase warrant carrying a six-cent strike price and a 24-month term. Completion of the offering remains subject to regulatory approval.
The company is relying on standard prospectus exemptions for the placement, including the existing security holder exemption with a record date set for August 7, 2026. Under this exemption, shareholders holding shares as of the record date may purchase up to $15,000 of the units directly from treasury.
The prior non-brokered financing in February 2024 raised $25,000 via units priced at $0.05 with warrants exercisable at $0.06. The current financing doubles the previous raise while keeping the unit price identical and maintaining the six-cent warrant strike price.
The new investor education program is managed on a day-to-day basis by an independent third party and operates online to provide interactive modules covering mining basics, geology, and exploration economics. CBLT holds no ownership interest in the initiative. The company's role is restricted to exclusive management of the cash account through which the manager raises and disburses funds, including charitable donations, for which CBLT will receive compensation.
“By helping the Manager open a fun and interactive window into the mining industry, we can build a more informed audience. The Program will present the mining industry in accessible ways, and each time someone engages with the content, they'll also be helping communities – the Manager has built donations into its Program so that participation creates shared value for local communities.”
— Peter M. Clausi, CEO
CBLT continues to advance its active mineral exploration portfolio, which includes the Big Duck Lake and Falcon projects in Ontario, the Mikayla project in British Columbia, and the Shatford Lake project in Manitoba.
