Centenario Launches $1.5M Private Placement to Fund Cabot and Los Reyes Exploration

Centenario Gold Corp. has initiated a non-brokered private placement aiming to raise up to $1.5 million in gross proceeds to fund exploration and evaluation work across its asset portfolio.

The financing involves the issuance of up to 15 million units priced at $0.10 each. Every unit comprises one common share and one-half of a common share purchase warrant. Each whole warrant grants the holder the right to purchase an additional common share at $0.15 for a period of 24 months from issuance.

Centenario intends to direct the net proceeds toward exploration and evaluation activities at the Cabot project in Newfoundland and the Los Reyes project in Mexico, alongside general and administrative expenses, which may include marketing and investor relations.

The offering is scheduled to close on or before August 20, 2026, subject to acceptance by the Canadian Securities Exchange and a standard four-month exchange hold period on the issued securities. The company may also pay finder's fees to eligible participants in accordance with exchange policies.

To facilitate the transaction, Centenario secured a discretionary waiver from the exchange regarding specific shareholder approval requirements concerning potential dilution. This waiver was granted on the condition that the company provided advance notice to the market and confirmed that no new insiders would be created by the placement, a condition the company has verified will be met.

The current financing follows operational steps taken earlier this year. Centenario secured a definitive option agreement to acquire a 100% interest in the Cabot project in December 2025, and subsequently appointed Paul LeGrow as Senior Project Manager in May 2026 to oversee exploration and drilling operations at the site.
