Chilwa Minerals Ltd (ASX: CHW) has publicly filed a registration statement on Form F-1 with the United States Securities and Exchange Commission, marking a significant step toward a proposed public offering in the United States. The company intends to seek a listing of its American Depositary Shares on the Nasdaq Capital Market, while its ordinary shares will maintain their existing listing on the Australian Securities Exchange.
Under the proposed structure, each American Depositary Share will represent ten fully paid ordinary shares in the company. Chilwa has not yet determined the final offering size or the specific price per share, noting that the transaction remains subject to regulatory review, final board approval, and prevailing market conditions. The company has engaged Rimon Law as its US legal counsel and BDO to manage the accounting due diligence required for the filing.
By pursuing a dual listing, Chilwa aims to leverage access to the vast US equity market, which represents nearly half of global equity value. The company intends to use the resulting capital flexibility to support the ongoing development of the Chilwa Critical Minerals Project, a rare earth and heavy mineral sands asset located in southern Malawi. Management views a US presence as a way to align the company with investors focused on the critical minerals sector, which has become a strategic priority for securing diversified supply chains in the United States and among its allied nations.
Moving forward, the successful completion of this initiative depends on several key developments. The company must wait for the registration statement to be declared effective by the SEC and secure approval for its listing application from Nasdaq. Once these hurdles are cleared, the final terms of the offering, including the capital to be raised, will be set.
