CleanTech Vanadium Mining Targets $1M in Non-Brokered Private Placement

CleanTech Vanadium Mining Corp. has launched a non-brokered private placement aiming to raise gross proceeds of up to $1,000,000 through the sale of up to 10,000,000 units at a price of $0.10 per unit.

Each unit delivered under the offering consists of one common share and one transferable common share purchase warrant. The warrants entitle the holder to purchase an additional common share at a price of $0.15 for a period of three years from the issuance date.

Completion of the financing remains conditional upon receiving all necessary regulatory approvals, including the formal consent of the TSX Venture Exchange. All securities issued under the placement, alongside any finder's units, will be subject to a regulatory hold period of four months and one day from the date of issuance in accordance with applicable securities laws.

Company insiders plan to subscribe for 1,500,000 units within the offering. Because this insider participation constitutes a related-party transaction under Multilateral Instrument 61-101, the company intends to rely on exemptions from the formal valuation and minority shareholder approval requirements. These exemptions apply because neither the fair market value of the units acquired by participating insiders nor the consideration paid is anticipated to exceed 25 percent of the company's market capitalization. CleanTech will file a material change report regarding this transaction and may elect to pay finders' fees to eligible intermediaries in accordance with exchange policies.

Net proceeds from the offering will be directed toward general corporate purposes. In addition to launching the new financing, the company elected to close a private placement previously announced across June and July 2026, securing aggregate gross proceeds of $433,033.37.

CleanTech holds an option to acquire over 17,550 acres of mineral rights encompassing historic fluorspar resources across multiple projects within the Illinois-Kentucky Fluorspar District. Beyond its fluorspar holdings, the company also owns a 100% interest in the Gibellini Vanadium Mine Project located in Nevada.
