Copper Fox Metals Closes Private Placement Financing

Copper Fox Metals Inc. (CUU) has successfully closed a non-brokered private placement, raising aggregate gross proceeds of $2,571,600. The financing consisted of 4,286,000 shares issued at a price of $0.60 per share. The company noted that no finder’s fees were paid in connection with the offering, and the issued securities are subject to a standard four-month hold period under applicable securities legislation.

The capital raise includes significant participation from insiders, who collectively subscribed for 3,140,000 shares. Notably, Ernesto Echavarria, a director and control person of the company, accounted for 3,000,000 of those shares. This insider participation was classified as a related party transaction under exchange policies, though the company utilized available exemptions from valuation and minority approval requirements because the total insider involvement did not exceed 25% of the company’s market capitalization.

Management plans to deploy the proceeds to advance exploration and development across its portfolio of 100% owned assets. Key priorities include continuing work on an updated preliminary economic assessment for the Van Dyke project in Arizona. Additionally, the funds are earmarked for ongoing exploration efforts at the company’s Mineral Mountain and Sombrero Butte porphyry copper projects, also located in Arizona. The company also intends to utilize the capital for general corporate and administrative purposes, as well as to facilitate early-stage preparatory work for the Eaglehead project in British Columbia, following the receipt of a five-year exploration permit.

While Copper Fox advances these fully owned assets, it continues to maintain a strategic interest in the broader copper sector through its 25% stake in the Schaft Creek Joint Venture. That British Columbia project remains under the operation of Teck Resources Limited, which holds the remaining 75% interest and currently carries all pre-production costs associated with the asset. This structure allows the company to focus its internal resources on its proprietary exploration and development pipeline, including the near-term economic studies underway at its primary Arizona development site. With this latest injection of capital, the company has raised over $5.5 million during the 2026 calendar year to support these objectives.
