Copper Giant Resources Corp. has agreed to a C$31 million strategic equity financing and a long-term offtake arrangement that will accelerate development at its Mocoa copper-molybdenum project in Colombia.

Under the terms of the private placement, Copper Giant will issue approximately 43.1 million common shares at C$0.72 each. Denarius Metals Corp. is the lead investor, subscribing for 40 million shares for a total of C$28.8 million, which will grant it a 15.6% stake in the company upon closing. The financing also includes participation from company President and CEO Ian Harris and significant shareholder Frank Giustra. All participants in the financing have agreed to a two-year lock-up arrangement.

Concurrent with the equity investment, Copper Giant has entered into an agreement with Trafigura Pte Ltd, granting the group the right and obligation to purchase 20% of the copper and molybdenum concentrate produced at Mocoa. This offtake agreement spans ten years from the commencement of commercial production and is conditional upon the successful completion of the financing.

The stock is currently trading at $0.87, up 3.57% today. The financing is expected to close on or about August 21, 2026, subject to regulatory approvals and the execution of definitive documentation.

"This transaction changes the trajectory of Mocoa. Denarius's investment gives us the capital to move through the PEA and accelerate the next phase toward a construction decision, while Trafigura provides a long-term route to global markets. Together, these partners bring Colombian operating experience, market reach and long-term alignment at a pivotal moment for copper and for Colombia."

— Ian Harris, President and Chief Executive Officer, Copper Giant

The influx of capital is earmarked for advancing exploration and project development at the Mocoa site. The project is currently undergoing a Preliminary Economic Assessment (PEA), which serves as the next milestone before the company moves toward a final construction decision.

As part of the broader strategic shift, Copper Giant will appoint Carlos Augusto Suárez Rojas to its board of directors, and Federico Restrepo-Solano, CEO of Denarius, will join the company's advisory board, effective upon the closing of the financing.
