Core Silver Completes Acquisition of Arcus Development Group

Core Silver Corp. has completed its acquisition of Arcus Development Group Inc. via a court-approved plan of arrangement under the Business Corporations Act of British Columbia, taking full ownership of the target company.

Under the terms of the transaction, Core Silver issued 21,221,140 common shares to former Arcus shareholders on a one-for-one exchange basis. This share issuance leaves former Arcus holders with approximately 39.2% of Core Silver’s 54,141,705 total issued and outstanding common shares on a non-diluted basis. The business combination was structured to establish a combined Tintina Belt exploration company anchored by the Touleary VMS discovery.

The arrangement agreement was originally signed on July 9, 2026, proposing a one-to-one share exchange that has now been finalised with the issuance of the 21,221,140 shares. Arcus has become a wholly-owned subsidiary of Core Silver and is scheduled to be delisted from the TSX Venture Exchange following the close of markets on September 15, 2026. Core Silver also intends to apply to have Arcus cease to be a reporting issuer in the applicable Canadian jurisdictions.

Following the close of the transaction, Darryl Jones, who served as interim CEO and a director of Arcus, has joined the board of directors of Core Silver. All other directors and officers of Arcus have stepped down from their former roles. No other changes to the Core Silver board or management team are expected as a result of the arrangement, and no finder’s fees were payable in connection with the transaction.

In parallel with the corporate integration, Core Silver and Arcus commenced a 3,000-metre diamond drilling program at the Touleary Project in September 2026, with assay results currently pending. Elsewhere in the surrounding district, Talamore Mining Corp. reported drilling results including 12.24 g/t gold over 6.4 metres at the Coffee Gold Project in September 2026.
