Critical Metals Advances European Lithium Buyout To Vote After Court Ruling

Critical Metals Corp. has moved its proposed acquisition of European Lithium Limited into its final stages after securing Supreme Court of Western Australia orders directing securityholder meetings to vote on the transaction.
Under the agreed transaction structure, Critical Metals will acquire 100% of the issued share capital and all listed options of European Lithium through court-approved schemes of arrangement under Part 5.1 of the Australian Corporations Act. The consideration payable under the schemes will be satisfied through the issuance of new ordinary shares in Critical Metals.
The Supreme Court orders direct European Lithium to convene separate meetings for its shareholders and optionholders on Thursday, October 22, 2026, in West Leederville, Western Australia. A general meeting of European Lithium shareholders will be held immediately before the scheme meetings to consider resolutions under Chapter 2E of the Australian Corporations Act, with implementation of each scheme conditional on those resolutions receiving approval.
The Scheme Booklet has been registered with the Australian Securities and Investments Commission and is scheduled to be dispatched to European Lithium securityholders on or around September 22, 2026. The booklet contains the independent expert’s report and will be released to the Australian Securities Exchange.
Subject to receiving securityholder and court approvals, alongside the satisfaction or waiver of the remaining conditions precedent, the schemes are expected to be implemented in November 2026.
Mike Hanson, board director of Critical Metals Corp who leads the Special Committee responsible for this transaction, commented:

The transaction forms part of Critical Metals' broader asset portfolio. The company identifies the Tanbreez project in Southern Greenland as its flagship rare earth deposit, for which it received government approval in April 2026 to increase its ownership stake to 92.5%. Critical Metals also holds the Wolfsberg Lithium Project located in Carinthia, Austria, positioned as a permitted asset designed to supply the European market.
