Critical Metals Lodges Scheme Booklet for European Lithium Takeover

Critical Metals Corp. has moved closer to finalising its acquisition of European Lithium Limited by lodging a draft explanatory statement with the Australian Securities and Investments Commission.

Following the execution of the Scheme Implementation Deed in May 2026, Critical Metals lodged the draft Scheme Booklet with ASIC on August 26, 2026. The proposed transaction remains structured as an acquisition of 100% of European Lithium's issued share capital and listed options through court-approved schemes of arrangement under the Australian Corporations Act 2001.

The first court hearing is scheduled for September 15, 2026, at 9:15 am AWST in the Supreme Court of Western Australia. At that hearing, European Lithium will seek orders to convene separate meetings for its shareholders and optionholders to vote on the schemes, alongside approval to dispatch the Scheme Booklet.

Subject to court orders, the scheme meetings are expected to take place in mid-October 2026, preceded immediately by a general meeting of shareholders. Implementation of the schemes is targeted for early November 2026, pending the satisfaction or waiver of remaining conditions precedent, including requisite securityholder votes and final court approval.

The acquisition adds European Lithium's assets to a portfolio that includes Critical Metals' flagship Tanbreez project in Greenland and the Wolfsberg Lithium Project located in Carinthia, Austria. Wolfsberg stands as the first fully permitted lithium mine in Europe, featuring established road and rail infrastructure designed to supply key products to the European market.
