Cygnus Advances CAML Scheme Toward 18 September Vote

Cygnus Metals Limited has scheduled its shareholder meeting to vote on the proposed 100 per cent acquisition by Central Asia Metals PLC for 18 September 2026 at 2.00pm AWST in Perth.

Under the scheme of arrangement, Cygnus directors unanimously recommend that shareholders vote in favour of the transaction, subject to the independent expert continuing to consider the proposal in the best interests of investors and in the absence of a superior alternative.

Key conditions precedent have already been cleared, including North Macedonian merger clearance, the independent expert's favourable report, and Central Asia Metals shareholder approval for the allotment of new shares. The Toronto Stock Exchange has also conditionally approved the listing of the new shares to be issued under the scheme.

The final major regulatory clearance required from Kazakhstan carries a statutory decision deadline of 1 October 2026. Because this deadline falls after the scheduled 23 September 2026 second court date, Cygnus may apply to defer the hearing or seek court approval to treat the Kazakhstan clearance as a condition subsequent. Central Asia Metals anticipates receiving the approval in the ordinary course, drawing on its prior experience with similar regulatory processes in Kazakhstan.

Cygnus continues to advance its Chibougamau Copper-Gold Project in Québec with an exploration program aimed at establishing a hub-and-spoke operation model utilizing a centralised processing facility. The company also holds exploration assets including lithium properties in the James Bay district alongside rare earth element and base metal projects in Western Australia.
