Dart Mining Secures Yamarna Gold Package in Western Australia with $2m Placement
Dart Mining NL has entered into a binding agreement to acquire a 100% interest in the Yamarna gold and lithium project, covering 865 square kilometres in the Yamarna district of Western Australia.
The transaction covers one granted tenement and seven tenement applications split across Yamarna South and Yamarna North. Total consideration includes a $25,000 exclusivity fee, $50,000 in cash, approximately 37.6 million shares valued at $320,000, 18.8 million unquoted options, a 1% net smelter return royalty, and heritage and land access cost reimbursements.
Completion of the acquisition is conditional upon satisfying several terms, including satisfactory due diligence within 30 days, execution of a royalty deed, and necessary shareholder approvals. Dart Mining intends to hold a general meeting in late September 2026 to secure approval for the transaction and the associated equity raising. Following completion, Cain Fogarty will join the company as a technical advisor.
To fund exploration and assessment across the project and its wider portfolio, Dart Mining has secured firm commitments from professional and sophisticated investors to raise $2 million before costs through a two-tranche placement. The placement involves issuing 235,294,118 shares at $0.0085 each. Tranche 1 will raise up to approximately $568,000 using existing placement capacities, while Tranche 2 will issue up to 168,449,495 shares to raise approximately $1,432,000 subject to shareholder approval at the upcoming general meeting. Company directors have committed to participate for $60,000 within Tranche 2, also pending shareholder approval.
