E3 Lithium Secures C$8.5 Million Equity Financing

E3 Lithium Ltd. has entered into an agreement with a syndicate of agents co-led by ATB Cormark Capital Markets and Canaccord Genuity Corp. to conduct a best-efforts public offering of 9,450,000 units at C$0.90 per unit, targeting gross proceeds of approximately C$8.5 million.

Each unit comprises one common share and one common share purchase warrant. Each warrant entitles the holder to purchase an additional common share at a price of C$1.10 for a period of 36 months following the closing date. The company has also granted the agents a 30-day over-allotment option to purchase up to an additional 15% of the offering on identical terms to cover over-allotments.

The net proceeds from the offering are intended to fund the advancement of the Clearwater Lithium Project and support general working capital requirements. Completion of the financing remains conditional on regulatory approvals, including clearance from the TSX Venture Exchange, with closing expected on or about September 24, 2026.

The public offering is being made by way of a prospectus supplement to the company's existing Canadian base shelf prospectus filed across all Canadian provinces and territories except Québec.

The financing adds to external financial backing secured earlier for the company's core asset in Alberta. E3 executed a contribution agreement in June 2026 for up to $36.5 million in non-repayable federal funding through Natural Resources Canada to accelerate development of the Clearwater Project.

Beyond its primary asset, E3 holds the Garrington District in Alberta, which hosts measured and indicated mineral resources of 5.0 million tonnes of lithium at a grade of 54.0 mg/L, alongside inferred mineral resources of 0.3 million tonnes at a grade of 42 mg/L.
