Eastfield Resources Clarifies Terms For Zymo And Indata Sale To Star Copper Corp.

Eastfield Resources Ltd. has clarified the terms of its agreement to sell its 100% interest in the Zymo mineral property and its 95.3% interest in the Indata mineral property to Star Copper Corp. in exchange for 10,000,000 shares of Star Copper.
The transaction constitutes a reviewable disposition by Eastfield and is a non-arm’s length transaction because William Morton, the president, chief executive officer and a director of Eastfield, also serves as a director of Star Copper. Morton has recused himself from the transaction.
Notwithstanding previous disclosures in the company's June 30, 2026 news release, Eastfield clarified that the transaction is not a related party transaction. In addition, no finder’s fees will be paid in connection with the sale.
To advance the transaction, Eastfield will be seeking the written consent of at least 50% of disinterested shareholders pursuant to applicable TSX Venture Exchange policy. The sale also remains subject to TSX Venture Exchange acceptance.
The Zymo copper-gold property covers 18,184 hectares near Smithers, British Columbia, and has seen more than $4.9 million in exploration expenditures by Eastfield and former joint venture partners since its acquisition in 2007. Eastfield operates on a business model of acquiring mineral properties and subsequently entering into option agreements with other companies to derive income and exploration leverage.
