Synergy Files CSE Listing Statement Ahead of Planned August Closing with Element79

Synergy Metals Corp. has filed a listing statement dated August 20, 2026, with the Canadian Securities Exchange in connection with its pending arrangement with Element79 Gold Corp. and a merger with 1425957 B.C. Ltd.

Subject to the satisfaction of customary conditions, the transactions and the listing of common shares on the CSE are expected to close later this month in August 2026. While previous company updates anticipated completing the arrangement within July 2026, the timeline was adjusted following earlier procedural steps.

The corporate restructuring builds upon an arrangement agreement originally entered into between Element79 Gold Corp. and Synergy on January 10, 2025, which has been amended across multiple extensions. Element79 previously secured securityholder approval for the arrangement at a special meeting on July 3, 2026, followed by a final order from the Supreme Court of British Columbia on July 10, 2026.

In support of the transactions, Synergy has also filed a technical report for the Dale Property, situated in the Porcupine Mining District of Dale Township, Ontario, Canada. The technical assessment was prepared by SGS Geological Services with an effective date of April 13, 2026, and a report date of June 16, 2026.
