Emerita Triggers Majority Voting Policy After Withheld Votes Exceed Support For Three Directors

Emerita Resources Corp. has triggered its Majority Voting Policy after receiving more withheld votes than votes in favour for three director nominees at its annual general and special meeting. The company also failed to secure sufficient shareholder support for resolutions concerning director numbers and its rolling stock option plan.

During the meeting, votes withheld for nominees Marilia Bento, Catherine Stretch, and David Patterson exceeded the votes cast for each candidate. Under company policy, all three directors have tendered their resignations for the board to review. The board will evaluate the resignations and announce its decision in due course, while ordinary shareholders approved the auditor appointment and elected the remaining three nominees on the slate.

The outcome marks a notable shift from the previous annual meeting held on June 19, 2025, when all board nominees secured approval from more than 93% of cast votes, and ordinary resolutions regarding stock options passed without incident.

Alongside the meeting results, Emerita filed its Q3 interim financial statements and management's discussion and analysis for the period ended June 30, 2026, on SEDAR+. The natural resource company holds a portfolio of seven mineral properties in Spain, including the Aznalcollar and Plaza Norte zinc projects and the Nuevo Tintillo copper project, alongside its primary focus on exploring in Spain and advancing its Iberian Belt West project. In the session coinciding with the AGM results announcement on August 25, 2026, the stock fell 1.23% to $0.4.
