Epic Gold Secures $3.15 Million Through Non-Brokered Private Placement

Epic Gold Corp. has launched a non-brokered private placement seeking to raise up to $3.15 million through the issuance of up to 22.5 million units at a price of $0.14 per unit.

Each unit consists of one common share and one common share purchase warrant. Every warrant entitles the holder to purchase an additional common share at $0.20 for a period of 42 months following the closing date of the offering. The company may pay finder fees in accordance with the policies of the Canadian Securities Exchange, and the placement remains subject to formal exchange approval. All securities issued under the offering will be subject to a four-month statutory hold period.

Epic Gold will allocate the net proceeds toward exploration across its Canadian mineral properties and to support general corporate working capital.

The capital injection feeds directly into the company's broader operational strategy in Quebec. Exploration efforts are anchored by the Fenton Gold Project, where a preceding diamond drilling campaign delivered notable high-grade intercepts, including 5.85 metres grading 4.65 g/t gold.

The financing and exploration push follows a series of corporate restructuring steps designed to concentrate the portfolio on Quebec assets. In late 2025, shareholders approved the sale of the company's mineral claims in Newfoundland to New Found Gold Corp. to allow management to focus entirely on its Quebec properties. Shortly thereafter, the company secured exploration funding through charity flow-through private placements led by institutional backers SIDEX and NQ Investissement minier.

Leadership also underwent a transition during this period, culminating in a corporate rebrand under President and CEO Rod Husband.

Activity within the surrounding district continues to generate exploration data. Auriginal Mining Corp. reported Phase 1 drill results from its nearby Roger gold project consisting of 125.3 metres grading 0.67 g/t gold.
