Errington Metals Closes C$34.5 Million Private Placement for Sudbury Basin Exploration
Errington Metals has closed its brokered private placement offering, raising aggregate gross proceeds of C$34,515,679.50 through a mix of flow-through shares and common shares.
Led by Stifel Nicolaus Canada Inc. as co-lead agent and sole bookrunner, alongside co-lead agents CIBC World Markets Inc. and BMO Nesbitt Burns Inc., the syndicate of agents partially exercised an option granted under the offering. The financing resulted in the issuance of 1,927,000 flow-through shares at C$5.19 per share for gross proceeds of C$10,001,130.00, and 7,004,157 common shares at C$3.50 per share for gross proceeds of C$24,514,549.50.
Net proceeds from the common shares will fund continued exploration at the Sudbury Basin Project and support general working capital. Gross proceeds from the flow-through shares will be dedicated to eligible Canadian exploration expenses, flow-through critical mineral mining expenditures, and eligible Ontario critical mineral exploration expenditures. Errington must incur these qualifying expenditures on or before December 31, 2027, and renounce them to initial purchasers with an effective date no later than December 31, 2026.
Certain directors and senior officers participated in the financing by purchasing an aggregate of 18,585 common shares for C$65,047.50, constituting a related-party transaction that was exempt from formal valuation and minority approval requirements. All securities issued under the offering are subject to a four-month-and-one-day hold period, and the offering remains subject to final acceptance of the TSX Venture Exchange.
Errington is advancing its wholly owned Sudbury Basin Project through a 45,000-metre drill program designed to support an initial mineral resource estimate and test regional targets. The financing follows a July 2026 expansion in which the company added 2,727 hectares of unpatented mining claims, increasing its Sudbury Basin land position by approximately 48%.
