Euro Sun Enters Non-Binding MoU For US$400 Million Project Facility And US$3 Million Placement

Euro Sun Mining Inc. has entered into a non-binding memorandum of understanding with Macquarie Bank Limited and Trafigura PTE LTD to establish a proposed senior project finance facility of up to US$400 million for the Rovina Valley Project in Romania.

Under an 18-month mandate period starting September 3, 2026, Macquarie and Trafigura will conduct due diligence, shape a financing structure, and seek internal approvals required to deliver a commitment letter for arranging, syndicating, and underwriting the debt. While the memorandum creates a binding agreement between the parties covering process and exclusivity, the facility itself remains conditional on completing due diligence, securing internal approvals, and executing definitive documentation.

Separately, Euro Sun agreed to a term sheet with Urion Investments Holdings Limited, a Trafigura Group company, for a US$3 million strategic equity investment. Urion will subscribe for approximately 21.5 million units priced at C$0.19 each. Every unit comprises one common share and one-half of a share purchase warrant, with whole warrants exercisable at C$0.40 per share for 48 months from closing. The offering proceeds are earmarked for the Rovina Valley Project and general corporate purposes, with closing expected on or about September 4, 2026, subject to Toronto Stock Exchange and board approvals alongside definitive agreements.

Euro Sun owns a 100% interest in the Rovina Valley Project, which hosts the second-largest copper and gold deposit in Europe and holds European strategic status. The new arrangements complement an existing multi-facility agreement secured with Trafigura in December 2025 for up to US$200 million toward project advancement and future construction, which remains in full force on its current terms.
