Fairchild Gold Completes Acquisition of Nevada's Golden Arrow Property

Fairchild Gold Corp. has completed its acquisition of a 100% interest in the Golden Arrow Property near Tonopah, Nevada, from Emergent Metals Corp. following shareholder approval received on June 9, 2026.

The transaction transfers ownership of 17 patented and 494 unpatented mineral claims in the Walker Lane mineral belt. Consideration includes US$600,000 in cash—incorporating a US$250,000 non-refundable deposit previously paid—alongside 12.5 million common shares at a deemed price of C$0.055 per share.

Fairchild also issued Emergent a non-convertible senior secured promissory note of US$3.5 million. The note carries an 8.5% annual interest rate, is payable semi-annually in arrears, and matures on March 23, 2031. The arrangement includes an early repayment mechanism: if Fairchild repays at least US$500,000 of the principal immediately upon closing a financing of at least US$3 million, and pays an additional US$2.5 million within six months, Emergent will waive the remaining US$500,000 principal balance and discharge its security interest.

If the note remains outstanding, the principal steps up to US$4 million after three years and US$5 million after four years. Fairchild granted Emergent a 0.5% net smelter returns royalty, with staged buyback options allowing Fairchild to acquire the royalty for US$1 million prior to the fourth anniversary or US$1.5 million between the fourth and seventh anniversaries. Furthermore, Fairchild has assumed existing advance minimum royalties and net smelter returns obligations, and must fund a financial guarantee of approximately US$40,000 to the United States Bureau of Land Management under the reclamation permit.

The acquisition expands Fairchild's Nevada footprint beyond its flagship Nevada Titan asset and Carlin Queen property. Regional activity includes Scorpio Gold Corporation reporting step-out drilling results from the nearby Manhattan project on August 10, 2026, intercepting 3.38 g/t gold over 33.31 metres.
