Falcon Energy Materials Launches C$30 Million Placement to Back Chinese Anode Acquisition
Falcon Energy Materials plc has initiated a fully committed, non-brokered private placement to raise gross proceeds of C$30 million, alongside entering advanced discussions to acquire a strategic minority interest in an existing Chinese anode material producer.
The financing involves issuing up to 30 million units priced at C$1.00 each. Every unit consists of one ordinary share and one-half of a share purchase warrant, with each full warrant allowing the holder to purchase an additional share at C$1.29 for 24 months. The transaction remains subject to customary closing conditions and approval from the TSX Venture Exchange, with closing expected on or about September 23, 2026.
Proceeds from the placement will directly fund the potential acquisition, advance the company’s growth plans in Morocco and internationally, and support general working capital. The proposed acquisition in China is intended to derisk the development of Falcon’s planned 25,000 tonnes per annum coated spheronized purified graphite production facility in Morocco.

Falcon opened a pilot plant near Casablanca in July 2026 to produce qualification-scale samples and generate operating data for the commercial facility, which targets first production in the second half of 2027. The company is also advancing towards definitive documentation and completion of a separate US$70 million construction financing term sheet, subject to conditions including an offtake agreement.
