Faraday Copper Shareholders Clear San Manuel Share Issuance

Faraday Copper Corp. shareholders have overwhelmingly approved a share issuance resolution to advance the acquisition of the San Manuel project in Arizona from a wholly owned subsidiary of BHP Group Limited.

At a special meeting held to vote on the transaction, disinterested shareholders cast 188,209,061 votes in favour of the resolution, representing 99.97% of the total votes cast. Out of 188,256,206 common shares voted at the meeting—accounting for 64.32% of the company's issued and outstanding common shares—only 47,145 votes were cast against the proposal. Shares held or controlled by BHP and its subsidiaries were excluded from the disinterested tally.

The shareholder approval satisfies a core closing condition tied to the definitive purchase and sale agreement that Faraday Copper previously entered into on July 2, 2026, to acquire a 100% interest in the San Manuel property. Under the terms of that agreement, the company will issue common shares to BHP as consideration, equivalent to a 30% interest in Faraday Copper on a fully diluted basis at closing.

In addition to securing the necessary shareholder mandate, the company confirmed that the Investment Canada Act closing condition for the transaction has now been satisfied. The acquisition remains subject to certain remaining customary closing conditions and is scheduled to close by the end of the third quarter of 2026.

The San Manuel property is situated directly adjacent to Faraday Copper's flagship Copper Creek Project in Pinal County, Arizona. The planned integration of the two assets is intended to form a multi-asset copper district in the United States, backed by strategic investments and support from both BHP and the Lundin Family Trust following earlier private placement financing completed earlier in the year.
