Full Circle Lithium Closes Oversubscribed Private Placement At $5.4M

Full Circle Lithium Corp. has closed its oversubscribed non-brokered private placement, securing total gross proceeds of $5,141,500 across two tranches to fund production and marketing expansion.

The final closing delivered $1,712,500 through the issuance of 4,281,250 units priced at $0.40 each. Combined with the first tranche completed on July 15, 2026, the financing resulted in the issuance of 12,853,750 units. The final tally surpassed the offering's initial $5,000,000 target announced on June 19, 2026.

Each unit consists of one common share and one-half of one common share purchase warrant. Each whole warrant allows the holder to buy an additional common share at an exercise price of C$0.70 for 18 months. The warrants are subject to an acceleration clause if the company's shares trade at or above C$1.20 for ten consecutive trading days.

Net proceeds are earmarked to scale up production capacity, build inventory, and drive sales and marketing initiatives for the company's FCL-X™ lithium-ion battery fire suppression product line, as well as to support general working capital. Previous private placements, including offerings in July 2024 and June 2025, similarly directed capital toward advancing commercialisation and distribution for the proprietary fire-extinguishing agent.

In connection with the offering, Full Circle paid cash finder's fees of approximately $188,167.50 and issued 468,300 finder warrants to arm's-length finders. Each finder warrant is exercisable at $0.40 for 18 months and is unlisted. All securities issued under the offering carry a statutory hold period of four months and one day alongside a 12-month contractual transfer restriction.
