Founders Metals Secures 100% Antino Interest in C$77M Deal

Founders Metals Inc. has completed the acquisition of the remaining 30% issued and outstanding shares of Lawa Gold N.V. from Nana Resources N.V., securing a 100% royalty-free interest in the Antino Gold Project located in southeastern Suriname.
Under the terms of the transaction, Nana received US$17 million in cash and 13,568,944 common shares of Founders Metals. Nana is also entitled to receive up to US$21 million in contingent cash milestone payments tied directly to the future achievement of specified mineral resource estimates, permitting milestones, construction phases, and production targets at the project. Prior to closing the transaction, Nana transferred 1,102,531 common shares to advisors for transaction-related fees. Following this transfer and the share issuance, Nana holds 14,246,413 common shares, representing approximately 9.9% of the company's issued and outstanding common shares on a non-diluted basis.
Concurrently with the property consolidation, Founders Metals closed a strategic investment totaling C$76,958,864 with Gold Fields Netherlands Services B.V., an affiliate of Gold Fields Limited. Founders Metals issued 14,146,850 common shares to Gold Fields at a price of C$5.44 per share. This placement increased Gold Fields' equity holding from approximately 12.5% to approximately 19.9% of the company's issued and outstanding common shares on a non-diluted basis.
Proceeds from the Gold Fields investment were used to cover the cash portion of the transaction consideration owed to Nana. The remaining capital is designated to fund regional exploration activities across the property, support working capital, and cover general corporate requirements. All shares issued under both the transaction and the strategic investment are subject to a statutory hold period of four months and one day under Canadian securities legislation and TSX Venture Exchange policies.
The transaction completes a broader consolidation effort by Founders Metals, which previously expanded the land package through a series of acquisitions starting in October 2025 to assemble a contiguous 102,360-hectare position across the Guiana Shield. Gold Fields initially established its position as a strategic partner in November 2025 through a $50 million private placement before increasing its stake via subsequent market purchases ahead of the current C$77 million financing.

Regional exploration across the Guiana Shield continues to see active development. Nearby, Miata Metals Corp. reported strong drill results including 30.0 metres grading 4.06 g/t gold at the Sela Creek gold project within the surrounding district.
Founders Metals is currently trading at $5.91, up 4.60%. The capital injection positions the company to advance its ongoing regional exploration work across the expanded Antino land holding.
