G3 Goldfields Inc. has closed its non-brokered private placement, issuing 4,000,000 common shares at a price of C$0.40 per share to raise aggregate gross proceeds of C$1.6 million.

The capital raised through the offering will be directed toward working capital and general corporate purposes. All securities issued under the placement are subject to a statutory hold period of four months and a day.

The financing supports operations at the Tiger Creek project, situated in the Potaro-Siparuni region of Guyana. Formed through a spin-out of G2 Goldfields Inc. in July 2026, the company holds multiple drill-ready targets across the Oko-Aremu gold belt and the active Puruni gold district. These assets form part of the Guiana Shield exploration portfolio, where the founders and principals previously participated in discoveries exceeding 11 million ounces of gold in the country.

The private placement closes against the backdrop of firm bullion markets, with gold trading at US$4,345.50 per ounce following a 6.73% gain over the preceding 30-day period. Broader exploration in the region also remains active within the surrounding district, where Omai Gold Mines Corp. reported 7.26 g/t gold over 34.8m at its Omai project in June 2026.
