Alpayana Acquires 10.97% Stake in Galantas Gold in CAD$38.35 Million Private Share Purchase

Luis Enrique Catril Espinoza has exited Galantas Gold Corporation after disposing of his entire holding of 91,313,890 common shares to Alpayana S.A.C. in a private share purchase agreement valued at CAD$38,351,833.80.

The off-market transaction executed at CAD$0.42 per share completed on August 21, 2026. The transferred block represents approximately 10.97% of the company’s issued and outstanding common shares on a non-diluted basis.

Prior to the completion, Mr. Catril beneficially owned and controlled the 91,313,890 shares, qualifying as a substantial shareholder under AIM Rules. Following the settlement and an early warning report filed under National Instrument 62-103, he holds zero securities in Galantas and has ceased to be a substantial shareholder, confirming there are no joint actors involved in the transfer. The incoming position matches the 10.97% stake previously reported by Alpayana.

Galantas operates as a publicly traded gold and copper developer focused on assets in stable jurisdictions, including the Indiana Project and the Andacollo Gold Project in Chile. The company acquired RDL Mining Corp. in December 2025, securing an option to acquire a 100% interest in the Indiana gold-copper project.

Galantas Gold Corporation is executing the expanded 12,500-metre drill program at the Indiana Project.
