Getty Copper Seeks up to C$15M in Flow-Through Financing

Getty Copper Inc. has entered into an agreement for a brokered private placement to raise up to approximately C$13 million, alongside a non-brokered offering aiming for up to C$2 million, bringing total targeted gross proceeds to approximately C$15 million.

The brokered placement involves a syndicate led by Velocity Capital Partners and Clarus Securities Inc., offering units structured as flow-through shares. This includes British Columbia charity flow-through shares priced at C$1.395 each and standard charity flow-through shares at C$1.305 each. The accompanying non-brokered portion will issue up to 1,855,000 flow-through shares at C$1.080 per share.

Funds raised from the financing will be directed toward eligible Canadian exploration expenses that qualify as flow-through critical mineral mining expenditures and provincial flow-through mining expenditures. Getty Copper plans to incur these expenses on or before December 31, 2027, and renounce them to initial subscribers effective December 31, 2026. The company is structured to indemnify subscribers for additional income taxes should the renunciation fail or face reduction upon assessment by the Canada Revenue Agency.

Because the offering utilizes the listed issuer financing exemption across Canadian provinces excluding Québec, the securities issued will not be subject to a statutory hold period. Closing is scheduled for on or about September 30, 2026, subject to customary regulatory approvals, including acceptance from the TSX Venture Exchange.

The financing supports activities at Getty Copper’s flagship 82% owned Getty Project, located near Logan Lake adjacent to Teck's Highland Valley Copper Mine in British Columbia. The work follows recent exploration drill results from the Getty South target within the copper and molybdenum asset, which included an intercept of 150.3 metres grading 0.71% copper in hole GS26-06.
